These Website Terms of Use ("Website Terms") govern access to and use of the public websites operated by HumanRisk Shield, LLC ("HRS," "we," "us," or "our"), including humanriskshield.com and public pages that link to these Website Terms (collectively, the "Website"). By using the Website, you agree to these Website Terms.
1. Platform customers and users
If you create or use an HRS platform account, accept an Order Form or online subscription, participate in a trial or evaluation that references the HRS Master Service Agreement, or access HRS on behalf of a customer, your use of the HRS platform is governed by the applicable Master Service Agreement ("MSA"), Order Form, and incorporated addenda — not these Website Terms. If there is any conflict between these Website Terms and the MSA regarding the HRS platform, the MSA controls.
2. Website purpose
The Website provides information about HRS, cybersecurity awareness, human risk management, our products and services, Trust Center materials, educational resources, and ways to contact, evaluate, or purchase HRS. Website content is provided for general informational and business purposes and may be updated from time to time.
3. Permitted use
You may access and use the Website for lawful informational, evaluation, procurement, and business purposes. You may not: (a) use the Website in violation of law or third-party rights; (b) attempt to gain unauthorized access to the Website or related systems; (c) interfere with or disrupt Website operation; (d) introduce malware or harmful code; (e) use automated means to scrape or extract Website content at a scale that materially burdens our systems, except as permitted by law or an applicable written agreement; (f) misrepresent your identity or affiliation; or (g) use Website content to create or train a competing commercial product in violation of HRS's intellectual-property rights.
4. Intellectual property
The Website and its content, including HRS names, logos, product names, graphics, designs, text, videos, training excerpts, software, and other materials, are owned by HRS or its licensors and are protected by applicable intellectual-property laws. HRS grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Website for the purposes permitted by these Website Terms. No other rights are granted by implication, estoppel, or otherwise.
5. Privacy and website analytics
Our collection and handling of personal data through the Website is described in our Privacy Policy. HRS uses privacy-preserving website analytics as described there. Information about HRS service providers, customer-controlled integrations, and Platform Sub-processors is available through our Trust Center.
6. Forms, communications, and submissions
If you submit information through a demo, contact, partner, newsletter, or similar form, you represent that the information is accurate and that you are authorized to provide it. You remain responsible for information you voluntarily submit. Do not submit passwords, payment-card numbers, sensitive authentication information, regulated health information, or other highly sensitive information through general Website contact forms unless HRS specifically requests it through an appropriate secure workflow.
7. Third-party websites and services
The Website may contain links to third-party websites or services. HRS does not control those third parties and is not responsible for their content, availability, security, or privacy practices. A link does not imply endorsement unless HRS expressly says otherwise.
8. Informational content; no professional advice
Cybersecurity, privacy, compliance, legal, and risk-management information on the Website is general information and does not constitute legal, regulatory, employment, accounting, or other professional advice. Threats, laws, standards, technologies, and recommended practices change over time. You are responsible for evaluating Website information for your own circumstances and obtaining professional advice where appropriate.
9. Website availability and disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND PUBLIC WEBSITE CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." HRS DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. THIS SECTION DOES NOT MODIFY ANY EXPRESS WARRANTY HRS PROVIDES TO A CUSTOMER UNDER THE MSA OR AN ORDER FORM.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HRS WILL NOT BE LIABLE UNDER THESE WEBSITE TERMS FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES, ARISING FROM USE OF THE PUBLIC WEBSITE. HRS'S TOTAL AGGREGATE LIABILITY ARISING SOLELY UNDER THESE WEBSITE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (USD $100) OR THE AMOUNT YOU PAID HRS SPECIFICALLY FOR ACCESS TO THE PUBLIC WEBSITE DURING THE TWELVE (12) MONTHS BEFORE THE CLAIM. THIS LIMIT DOES NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED.
11. Feedback
If you voluntarily provide suggestions, ideas, or feedback about HRS or the Website without a separate confidentiality obligation, you grant HRS a worldwide, perpetual, irrevocable, royalty-free right to use that feedback for any lawful purpose without compensation or attribution.
12. Changes to the Website and these Terms
We may modify the Website and these Website Terms from time to time. We will update the effective date or version when these Website Terms change materially. Changes apply prospectively when posted unless a later date is stated. Changes to the customer Platform agreement are governed by the MSA rather than this Section.
13. Governing law and venue
These Website Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-laws principles. To the extent a dispute arising solely from these Website Terms is subject to an agreed forum and applicable law permits, exclusive venue will lie in the state courts located in Mecklenburg County, North Carolina, or the United States District Court for the Western District of North Carolina, Charlotte Division.
14. General
If any provision of these Website Terms is held unenforceable, the remaining provisions remain in effect. HRS's failure to enforce a provision is not a waiver. You may not assign your rights under these Website Terms without HRS's written consent; HRS may assign them in connection with a merger, acquisition, reorganization, or sale of all or substantially all of the relevant business or assets.
